These
Terms of Service (“Terms”) govern your use of the Jira Governance
& Admin Helper application (“App”) developed by TechClimbs
(“we”, “us”, “our”). By installing or using the
App, you agree to be bound by these Terms. If you do not agree, do not install
or use the App.

1.Acceptance of Terms

By
installing, accessing, or using the App through the Atlassian Marketplace, you
confirm that you have read, understood, and agree to these Terms. These Terms
apply in addition to the Atlassian
Marketplace Terms of Use
and any applicable Atlassian agreements.

2.Description of Service

The
App is an administration toolkit for Jira Cloud that provides instance
auditing, bulk configuration management, user and group administration, role
management, and reporting capabilities. The App runs entirely on the Atlassian
Forge platform within your Atlassian cloud environment.

3.License and Access

Subject
to these Terms and payment of applicable fees, we grant you a non-exclusive,
non-transferable, revocable license to use the App for your internal business
purposes on your Atlassian Cloud instance.

·       The App requires a
valid license purchased through the Atlassian Marketplace or an active trial
period.

·       When the license
expires or is not renewed, access to the App will be restricted in accordance
with Atlassian’s standard licensing process.

·       The App is restricted
to users with Jira Administrator, Site Administrator, or Organization
Administrator permissions.

4.Permitted Use

You may use the App to:

·       Audit and review your
Jira Cloud instance configuration

·       Perform bulk
management operations on schemes, users, groups, roles, workflows, fields, and
other Jira configuration

·       Export configuration
data to CSV for reporting purposes

·       Manage user access,
product assignments, and group memberships at the organization level

5.Restrictions

You agree not to:

·     Reverse engineer, decompile, or disassemble the App

·       Modify, adapt, or create derivative works based on the App

·       Redistribute, sublicense, lease, or rent the App to any third party

·       Use the App to violate any applicable laws, regulations, or third-party rights

·       Attempt to bypass the App’s licensing, authentication, or authorization mechanisms

·       Use the App in a manner that could damage, disable, or impair the Atlassian platform or
interfere with other users

6.Data Handling and Privacy

Your use of the App is also governed by our Privacy Policy, available within the App and as a separate document. Key points:

·       The App runs entirely on Atlassian Forge. No data is transmitted to external servers except calls to api.atlassian.com (Atlassian’s own Admin API).

·       No user personal data (names, emails) is permanently stored. Only configuration settings and encrypted API credentials are persisted.

·       CSV exports are temporary (10-minute lifetime) and automatically deleted after download.

·       The App complies with GDPR requirements and implements Atlassian’s personal data report and deletion
callbacks.

7.Destructive Operations

The App provides bulk delete, suspend, and modification capabilities. These
operations are irreversible in many cases.

·       All destructive operations require explicit confirmation before execution.

·       Configurable limits in
Settings control the maximum number of items per bulk operation.

·       All write and delete
operations are logged under the executing administrator’s identity in Jira’s
audit log.

·       You are solely responsible for verifying the impact of any bulk
operation before confirming it.
We recommend testing on a non-production instance first.

·       We are not liable for
any data loss, configuration changes, or service disruption resulting from the
use of the App’s bulk operations.

8.Availability and Support

·       The App is provided on
an “as available” basis. We do not guarantee uninterrupted or
error-free operation.

·       The App depends on
Atlassian Forge platform availability and Jira Cloud REST API functionality.
Changes to these platforms may affect App functionality.

·       Support is available via email at support@techclimbs.com with a target response time of 24 hours on business days.

·       We will make reasonable efforts to maintain compatibility with current Jira Cloud versions
and address reported issues promptly.

9.Fees and Payment

·       Pricing is set through
the Atlassian Marketplace and is based on the number of users on your Jira
Cloud instance.

·       A free trial period is
available as provided by the Atlassian Marketplace.

·       All billing,
invoicing, refunds, and payment processing are handled by Atlassian in
accordance with the Atlassian
Marketplace purchasing terms
.

·       We reserve the right
to change pricing. Existing customers receive a 60-day grace period at the
previous price when renewing.

10. Intellectual Property

The App, including its code, design, documentation, and all related materials, is
the intellectual property of TechClimbs. All rights not expressly granted in
these Terms are reserved. Your license to use the App does not transfer any
ownership rights.

11. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT
WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL
WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

·       The App will meet your
specific requirements

·       The App will be
uninterrupted, timely, secure, or error-free

·       The results obtained
from using the App will be accurate or reliable

·       Any errors in the App
will be corrected

12.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHCLIMBS BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF
BUSINESS, OR SERVICE INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE
APP, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT
EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE
CLAIM.

13.Indemnification

You agree to indemnify and hold harmless TechClimbs, its officers, directors, and
employees from any claims, damages, losses, or expenses (including reasonable
legal fees) arising out of your use of the App, your violation of these Terms,
or your violation of any rights of a third party.

14.Termination

·       You may stop using the
App at any time by uninstalling it from your Jira Cloud instance.

·       We may terminate or
suspend your access to the App if you violate these Terms.

·       Upon termination, your
license to use the App ends immediately. All stored configuration data is
automatically deleted by the Forge platform upon uninstallation.

·       Sections 10, 11, 12,
13, and 16 survive termination.

15.Changes to Terms

We
reserve the right to update these Terms at any time. Updated Terms will be
posted in the App documentation and on the Atlassian Marketplace listing. Your
continued use of the App after changes constitutes acceptance of the updated
Terms. Material changes will be communicated through the Marketplace listing or
in-app notification.

16.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the
jurisdiction in which TechClimbs operates, without regard to conflict of law
principles. Any disputes arising under these Terms shall be resolved through
good-faith negotiation, and if necessary, through binding arbitration or the
courts of competent jurisdiction.
